SUPER NETWORK LIMITED TERMS AND CONDITIONS

Welcome to Super Network(“Super TV” or “We” or “Our”) is owned and operated by Super Network Limited.

We are a company registered in Nigeria (RC 1161216). We provide a subscription service that allows our members to access, discover and watch Live TV channels, movies, TV shows, and other genres (“Super TV content”) using Super TV’s ZERO-DATA for streaming technology. This Agreement must be read with due consideration to our Consumer Code of Practice and compliance with the Nigeria data protection and Consumer Protection laws.

INTRODUCTION

1.1. These Terms and Conditions (the “Agreement”) governs your use of our service. As used in these Terms and Conditions, "Super TV service", " service" or "the service" means the service provided by Super TV. We provide lots of information about our products and how to use them on our website. Please read this Agreement carefully and make sure you understand it. If you do not understand the Agreement or do not accept any part of it, then you may not use the service.

1.2. The terms of our privacy policy are incorporated in these Terms and Conditions, and you agree to be bound by that policy as if its provisions have been included in these Terms and Conditions in full.

2. SUBSCRIPTION

2.1. Super TV will provide the service to you on a pre-paid basis. In order to have continued access to the service you must make, and we must receive, payment of Your Fees in advance. If we do not receive payment of your Fees, we may suspend your access to the service.

2.2. Your Super TV subscription may continue month-to-month, or according to your chosen subscription plan “Subscription Period” as currently available on the application or the Site or app, unless and until you cancel your subscription, or we terminate or discontinue it. In this case, you must cancel your subscription or opt out of the service before it renews each Subscription Period to avoid billing of the next subscription to your payment method (“Payment Method”).

2.3. We may from time to time amend the fees payable in respect of access to the service. We will notify you of such an amendment as soon as practicable prior to implementing it, so that if you wish to terminate the Agreement you may do so. We may alter the Payment Instruction to correspond with any change in your Fees.

2.4. We may use payment systems owned and operated by third parties (“Payment service providers”) to facilitate the collection of fees and other amounts payable by you in respect of the service. None of these Payment service providers is our employee, subcontractor, agent, intermediary or representative, or otherwise controlled by us.

2.5. To use the Super TV service you must have a Super TV ready device.

2.6. We may offer a number of subscription plans including special promotional plans with different conditions and limitations which are subject to change. You can find specific details regarding your Super TV plans on Super TV Subscription Plans. We reserve the right to modify, terminate or otherwise amend our offered subscription plans including pricing. 

3. Billing:

3.1. By signing up for your Super TV subscription, you are expressly agreeing that we are authorized to charge you a subscription fee at the then current rate, for one (1) day, one (1) week, or one (1) month or based on any length of time we determine (“Subscription Period”) depending on your subscription plan, including any applicable taxes to the Payment Method accepted by Super TV. You acknowledge that the amount billed during each Subscription Period may vary for reasons that include promotional offers, changes in your Subscription plan, or changes in any applicable taxes and you authorize Super TV to charge your Payment Method for the corresponding amounts.

3.2. We may or may not automatically bill your Payment Method on the calendar day corresponding to the commencement of your Subscription Period and each Subscription Period thereafter unless and until you cancel or opt-out of your subscription. By way of example, if you became a paying subscriber on July 1, for a one-month subscription plan, your Payment Method could next be billed on August 1. Also, if you became a paying subscriber on June 1, for a 1-day subscription plan, your Payment Method would next be billed on June 2. Subscription fees are fully earned upon payment. We reserve the right to change the timing of our billing. In the event your Subscription Period begins on a day not contained in a given month, we may bill your Payment Method on a day in the applicable month or Subscription Period or such other day, as we deem appropriate.

3.3. The subscription fee will be billed at the beginning of your Subscription Period, and may be renewed on each Subscription Period renewal thereafter unless and until you cancel your subscription or the account or service is otherwise suspended, terminated or discontinued pursuant to these Terms. To see the commencement date for your next billing cycle or renewal period, refer to the confirmation SMS received from Super TV after you subscribed.

3.4. If your Payment Method expires and you do not edit your Payment Method information or cancel your account, your service may automatically renew without prior notice to you, using the details of your previous payment. You must cancel your service before it renews in order to avoid us billing your account. However, where there are insufficient funds in your account, your account access would be terminated following several attempts to renew your subscription and communicate the issue to you.

3.5. Payments can be made via airtime from your mobile provider, or via any other payment method accepted by Super TV ("Payment Method") at this time.

3.6. We reserve the right to adjust pricing for our service or any components thereof, including pricing for subscription plans, in any manner and at any time as we may determine in our sole and absolute discretion.

4. NO REFUNDS PAYMENTS ARE NONREFUNDABLE, NON CANCELLABLE AND THERE ARE NO REFUNDS FOR PARTIALLY USED PERIODS.

Following any cancellation, however, you will continue to have access to the service through the end of your current billing period. 

5. SUPER TV OBLIGATIONS

5.1. In consideration for your payment of your Fees, and subject to you complying with this Agreement, Super TV will provide you with access to the service in accordance with this Agreement.

5.2. Subject to your compliance with this Agreement, we will continue to provide you with access to the service until your subscription expires, access is suspended or the Agreement is terminated.

6. TERRITORY

6.1. You may view the Super TV content primarily in Nigeria and only in geographic locations where signals of the relevant Licensed Telecommunications Operators are available.

7. PERMISION GRANTED BY PARENT OR GUIDIAN

7.1. You must be at least 13 years of age to subscribe to Super TV service. Children of all ages may subscribe to Super TV age relevant plans (where available) if enabled by a parent or Legal guardian.

7.2. If you are under 13, you must have your parent or Legal guardian’s permission to use the Service. Please have them read this Agreement with you. If you are a parent or the legal guardian of a user under the age of 13, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service.

8. SUPER TV SERVICE

8.1. Super TV service and any content viewed through the service are for your personal and non-commercial use only and may not be shared with individuals. During your Super TV subscription, we grant you a limited, non-exclusive, non-transferable right to access the Super TV service and view Super TV content. Except for the foregoing, no right, title or interest shall be transferred to you. You agree not to use the service for public performances and viewing.

8.2. The Super TV service, including the content library, is regularly updated. In addition, we continually test various aspects of our service, including our website, application, user interfaces, promotional features, and availability of Super TV content.

8.3. The quality of the display of the Super TV content may vary from device to device and may be affected by a variety of factors, such as your location. Please refer to Super TV Technical Pack for comprehensive technical information.

8.4. Super TV software is developed by, or for, Super TV and may solely be used for authorized streaming and viewing of Super TV content through Super TV ready devices. This software may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the Service may require third-party software that is subject to third party licenses. You agree that you may automatically receive updated versions of the Super TV software and related third-party software.

9. PERMISSIONS AND RESTRICTIONS

You may access and use the service as made available to you, as long as you comply with this Agreement. You may view or listen to content for your personal, non-commercial use. The following restrictions apply to your use of the service. You are not allowed to:

9.1. access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify, or otherwise use any part of the service or any content and information contained on or obtained from or through the Super TV service, except as explicitly authorized in these Terms of Use or as applicable by law

9.2. circumvent, disable, fraudulently engage, or otherwise interfere with the service (or attempt to do any of these things), including security-related features or features that: (a) prevent or restrict the copying or other use of Content; or (b) limit the use of the Service or Content;

9.3. either directly or through the use of any device, software, internet site, web-based service, or other means remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the content or any digital rights management mechanism, device, or other content protection or access control measure associated with the content including geo-filtering mechanisms.

9.4. incorporate the content into, or stream or retransmit the content via, any hardware or software application or make it available via frames or in-line links unless expressly permitted by Super TV in writing. Furthermore, you may not create, recreate, distribute, or advertise an index of any significant portion of the content unless authorized by Super TV.

9.5. access the service using any automated means (such as robots, botnets or scrapers) except as permitted by applicable law;

9.6. collect or use any information that might identify a person (for example, harvesting usernames), unless permitted by that person or by applicable law;

9.7. use the service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations (spam);

9.8. cause or encourage any inaccurate measurements of genuine user engagement with the Service, including by paying people or providing them with incentives to increase a video’s views, likes, or dislikes, or to increase a channel’s subscribers, or otherwise manipulate metrics;

9.9. misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions; or

9.10. use the service to view or listen to content other than for personal, non-commercial use (for example, you may not publicly screen videos from the Service).

10. SUPER TV FAIR USAGE POLICY

This Fair Usage Policy (“FUP”) sets out the principles that govern the use by the customer, of the Super TV services provided by Super TV. This FUP recognizes that Super TV users form part of a broader Super TV, national and global community, and is intended to offer some protection to customers from irresponsible, abusive or illicit activities. We also seek to ensure that Super TV continues to deliver the best subscription television service (the “Service”) possible.

10.1. Customer Responsibilities: Super TV customers are responsible for complying with the FUP and the regulations and laws of the country.

10.2. Customers are responsible for securing their devices and services so that they are not vulnerable to external threats such as viruses, spam, and other methods of intrusion.

10.3. Prohibited uses and activities: The usage of the Service is intended for, but not limited to, personal activities. It is NOT intended for resale to unauthorized third parties.

10.4. Customers may use the services in a manner that is compliant with all applicable regulations and laws. This includes, but is not limited to, those relating to cybersecurity, protection of personal information, copyright and legal interception.

10.5. The Customer expressly authorizes Super TV to cooperate with law enforcement authorities in the investigation of any suspected legal violations, following their compliance with due process.

10.6. Uncapped rules: Super TV needs to ensure that all of its Customers, as members of the Super TV Community, have fair and equal use of the services. It also has the right to protect the integrity of its network. Super TV therefore reserves the right to take reasonable steps to prevent improper or excessive usage of the network. Super TV may amongst other things, limit throughput, and prevent or limit service through specific ports or communication protocols.

10.7. Customers can view the usage levels for all plans or Bouquets.

10.8. Super TV Customers may not restrict, inhibit, interfere with, or otherwise disrupt or cause a performance degradation, regardless of intent, purpose, or knowledge, to the Service or any Super TV host, server, backbone network, base station, node, or service, or otherwise cause a performance degradation to any Super TV facilities used to deliver the Service.

10.9. Breach of FUP: Super TV reserves the right to terminate the service and the Subscriber Agreement immediately if the customer breaches the FUP.

10.10. AMENDMENT OF FUP: Super TV reserves the right to revise, amend or modify the FUP from time-to-time by sending a new version of this document to the customer and by notifying a change on the Super TV Website. In the event of a conflict between any subscriber or customer agreement and the FUP, the terms of the FUP will govern.

11. User Material

11.1. The Super TV service may enable you to submit comment, information or reviews to the Super TV service, (“User Material”), and such User Material will generally be available to all Users of the Super TV service. User Materials do not include account information you provide when you register as a Member or when you subsequently change that information. We do not endorse any User Material, and any User Materials on the Super TV service do not reflect the opinions or policies of Super TV.

11.2. Super TV will not necessarily review User Material submitted by Users. We are not responsible for the content of User Material. We make no warranties or representations, express or implied, about User Material, including as to its legality or accuracy. We disclaim all liability in connection with User Material to the extent permitted by law. We reserve the right (but not the obligation) in our sole discretion, to refuse to post or to remove or edit any of your User Material, or the right in our sole discretion, to restrict, suspend, or terminate your access to all or any part of the Super TV service, where User Material breaches the provisions of this Section on User Materials without notice to you.

11.3. When you provide Super TV with, or submit User Material, including any other material contained in any communication you may send to us, including responses to questionnaires, to the Site or application, or as part of your use or access of the Super TV service, you grant Super TV, its subsidiaries and affiliates, an irrevocable, perpetual, non-exclusive, royalty-free, sub licensable, transferable and worldwide license to use, reproduce, modify, distribute, store, prepare derivative works of, display and publicly perform that User Material in any media now known or hereinafter created. You further grant Super TV the right to grant permissions to users of the application or Site to view such information for personal and non-commercial use. You agree that you shall immediately notify Super TV of any objectionable posts or other content appearing on the Site. You acknowledge and agree that Super TV is free to use any User Material and that you have no expectation of compensation or confidentiality of any nature with respect to any User Material.

12. RESERVATION

Any right not expressly granted to you in this Agreement remains the right of Super TV or the respective rights holders. This means, for example, that using the service does not give you ownership of any intellectual property rights in the Content you access (including any branding used on or displayed in the service).

13. WARRANTIES AND LIMITATIONS ON LIABILITY

13.1. The Super TV service is provided "as is" and without warranty or condition. In particular, our service may not be uninterrupted or error-free. You waive all special, indirect, and consequential damages against Super TV, its subsidiaries and affiliates. These terms will not limit any non-waivable warranties or consumer protection rights that you may be entitled to under the Nigerian Consumer protection laws.

13.2. TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, IN NO EVENT SHALL SUPER TV, OR ITS SUBSIDIARIES OR ANY OF THEIR SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER.

14. INTELLECTUAL PROPERTY

14.1. The Content Rights and the System Rights are either owned by, or licensed to, us or our affiliates and that by entering into the Agreement you acquire no right or interest in such rights; and

14.2. You will not infringe our rights or interests, or those of our Content Partners or licensors, in the Content Rights and the System Rights, in the course of your access to and use of the Service. Nor may you negligently or intentionally permit any other person to do so.

14.3. Copyright
The Super TV service, including all content provided on the Super TV Service is the property of Super TV or its licensors and is protected by Nigerian and international copyright, trade secret or other intellectual property laws and treaties.

14.4. Trademark
Super TV is a registered trademark of Super TV. Super TV’s trademark and trade dress may not be used in connection with any product or service that is not Super TV, in any manner that is likely to cause confusion among clients or in any manner that disparages or discredits Super TV. All other trademarks not owned by Super TV that appear in any Super TV service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Super TV.

14.5. Patents
You may not extract and/or re-utilise parts of the content of any Super TV service without our express written consent. In particular, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilization any substantial parts of the content of any Super TV service, without our express written consent. You may also not create and/or publish your own database that features substantial parts of any Super TV service without our express written consent.

14.6. Copyright Infringement

14.6.1. Super TV respects the intellectual property of others. If you believe your work has been used in a way that gives rise to concerns of infringement, please notify us using the procedure below for making infringement claims.

14.6.2. Notice and Procedure for Claims of Copyright Infringement

If you are a Copyright Owner or an Agent asserting that any of the content on the application or Site infringes upon your copyrights, you may submit a notification by making available the following information to us or our Copyright Agent in writing in accordance with the procedure set forth below. We will process and take appropriate action in accordance with applicable intellectual property laws. Your notification must contain the following:

i. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

ii. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

iii. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;

iv. Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail address where you may be contacted;

v. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

vi. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

vii. A copy of your notification should be emailed to Super TV copyright agent at copyright@SuperTV.ng (Please note that this contact address is only for copyright infringement claims; you will not receive a reply if the matter is not a copyright issue).

14.7. Third Party Content/Links to Other Websites
The Site or application may contain links to other websites or services that are not owned or controlled by Super TV. You acknowledge that any access is at your sole discretion and risk. We do not review or endorse any of those websites or services. We are not responsible in any way for: Any errors or omissions in relation to other websites, services or contents on the websites;

i. The privacy practices;

ii. The availability;

iii. The content, advertising, products, goods or other materials, services or resources on or available from; or (5) the use to which others make of; these websites or services.

14.8. SUPER TV DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY WEBSITE, PRODUCT OR SERVICES ADVERTISED ON, OR OFFERED BY A THIRD PARTY THROUGH THE SITE OR THE SUPER TV SERVICE, OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING. SUPER TV WILL NOT BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR OFFENCE CAUSED OR ALLEGED TO BE CAUSED BY, OR IN CONNECTION WITH, THE USE OR RELIANCE ON SUCH WEBSITES OR SERVICES.

15. TERMINATION, MODIFICATIONS, SUSPENSION

15.1. Your failure to comply with these Terms and Conditions constitutes a material breach of Super TV’s service.

15.2. If you become ineligible to access the services, or breach the Terms and Conditions, Super TV may, without prejudice to any other remedy, terminate your ability to access the Super TV Platform and its services. If, and to the extent that Super TV is required by any Applicable Law, or if Super TV otherwise considers it appropriate, Super TV will notify you prior to exercising Super TV’s rights in terms of this clause. If not, Super TV may exercise Super TV’s rights immediately.

15.3. If we cancel the Terms and Conditions, we may charge you any amount which you owe us up to the date of cancellation and a reasonable cancellation fee which considers amongst other amounts to the maximum extent permitted by law.

15.4. If Super TV breaches any provision of the Agreement and fails to remedy such breach within 10 business days of receipt of written notice from you requesting it to do so, then you will be entitled to claim immediate specific performance of any obligations under the Agreement, and where the remedy of specific performance would not be adequate, you shall be entitled to cancel the Agreement by giving notice in writing of the cancellation, and the cancellation will take effect on the giving of the notice.

15.5. Termination, Modifications, Suspension We hope not to, but we may change, suspend, or discontinue - temporarily or permanently - some or all of the Super TV service (including the content and the devices through which the Super TV service is accessed), with respect to any or all Users, at any time without notice. You acknowledge that we may do so in Super TV sole discretion. You also agree that Super TV will not be liable to you for any modification, suspension, or discontinuance of the Super TV service, although if Super TV suspends or discontinues the Super TV service, Super TV may, in its sole discretion, provide you with a credit, refund, discount or other form of consideration. However, if Super TV terminates your account or suspends or discontinues your access to Super TV service due to your violation of these Terms, or any applicable law, rule or regulation, or engaged in other inappropriate conduct, then you will not be eligible for any such credit, refund, discount or other consideration.

16. CLASS ACTION WAIVER WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND SUPER TV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Further, where permitted under the applicable law, unless both you and Super TV agree otherwise, the court may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

17. MISCELLANEOUS

17.1. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

17.2. Customer Support: To find more information about our service and its features, or if you need assistance with your account, please visit the Super TV Help Center on our website.

17.3. Survival: If any provision or provisions of these Terms and Conditions shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

17.4. Changes to Terms of Use and Assignment: Super TV may, from time to time, change these Terms and Conditions. We will notify you at least 14 days before such changes apply to you. We may assign or transfer our Agreement with you including our associated rights and obligations at any time and you agree to cooperate with us in connection with such an assignment or transfer.

17.5. Communications: By using the Super TV service, you consent to receiving electronic communication from Super TV relating to your account. We will communicate with you by SMS, e-mail, or by posting notices on the Site or application or through other Super TV methods. For contractual purposes, you consent to receive communications from us electronically and you agree that all agreements, notices, disclosures and other communications that we provide you electronically satisfy any legal requirement that such communication be in writing. You also consent to receiving certain other communication from us, such as newsletters, special offers, questionnaires, customer surveys or other announcements via SMS, email or other methods. You may opt out of receiving non-transactional communications, including marketing communications from us by following the directions in our e-mail to “unsubscribe” from our mailing list, or by sending an e-mail request to support@SuperTV.ng Please be aware that if you choose not to receive such communication, certain offers attached to services you have chosen may be affected. We will still communicate with you in connection with transactional communications, including but not limited to servicing your account, invoices and customer services.

17.6. We will send you information relating to your account (e.g., payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices, etc.) in electronic form only, for example via emails to your email address or by way of text or other messages to your cellular phone provided during registration.

18. DECLARATIONS AND WARRANTIES BY YOU

18.1. You confirm, warrant and declare that -

i. you have been given an adequate opportunity to receive, read and understand the Terms and Conditions and that you are aware of all the terms printed in bold;

ii. you understand and accept your risks, costs, rights and obligations in terms of this Agreement; and

iii. all the information which you have provided to us in connection with this Terms and Conditions is true, complete and accurate, and that you are not aware of any material facts or circumstances which you have not disclosed to us which, if disclosed, may adversely affect our decision to make the subscription plans available to you.
